1. Acceptance of Terms

By accessing or using the RAF Revenue website (www.rafrevenue.com) and any associated tools, calculators, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

RAF Revenue is a product of VBC Risk Analytics ("Company," "we," "us," or "our").

2. Description of Services

RAF Revenue provides Medicare Advantage revenue modeling tools, including but not limited to:

  • RAF Revenue Calculator for risk adjustment revenue estimation.
  • Multi-contract portfolio modeling and scenario analysis.
  • Downside risk simulation and sensitivity analysis.
  • Educational content, articles, and guides on Medicare Advantage financial modeling.

3. Eligibility

The Services are intended for use by healthcare professionals, financial analysts, actuaries, and other qualified individuals involved in Medicare Advantage risk contract management. By using the Services, you represent that you are at least 18 years of age and have the legal authority to agree to these Terms.

4. User Accounts

Certain features of the Services may require you to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security and confidentiality of your login credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable federal, state, or local laws or regulations.
  • Attempt to gain unauthorized access to our systems, servers, or networks.
  • Interfere with or disrupt the Services or any connected servers or networks.
  • Transmit any malware, viruses, or other harmful code.
  • Use automated tools (bots, scrapers, crawlers) to access the Services without our prior written consent.
  • Reverse-engineer, decompile, or disassemble any aspect of the Services.
  • Reproduce, distribute, or publicly display any content from the Services without our prior written authorization.

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, software, algorithms, financial models, and underlying code — are the exclusive property of VBC Risk Analytics or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to:

  • Modify or create derivative works based on the Services.
  • Resell, sublicense, or commercially distribute any output, models, or content from the Services.
  • Remove any copyright, trademark, or proprietary notices.

7. Calculator and Modeling Output

The financial projections, revenue estimates, and modeling outputs generated by our tools are based on the inputs you provide and the publicly available CMS formulas and parameters used in Medicare Advantage risk adjustment. You acknowledge that:

  • All outputs are estimates only and should not be treated as guaranteed financial results.
  • You are solely responsible for validating outputs and making independent financial decisions.
  • We make no representations or warranties regarding the accuracy, completeness, or suitability of any modeling output for your specific circumstances.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in the Privacy Policy.

9. Third-Party Links and Services

The Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of any third-party sites or services. Your use of third-party services is at your own risk.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, error-free, or secure.
  • The results obtained from the Services will be accurate or reliable.
  • Any defects in the Services will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VBC RISK ANALYTICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless VBC Risk Analytics and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any decisions made based on outputs from our modeling tools.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification) will survive.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and VBC Risk Analytics regarding your use of the Services and supersede all prior agreements and understandings.
